1. About these terms
1.1Axiom Metric is a trading name of Freddie Ince, of Warlingham, Surrey ("we", "us"). Email: contact@axiommetric.co.uk.
1.2These terms apply to all work we do for you ("you"). Together with our written proposal, they form our contract. If the proposal and these terms differ, the proposal wins.
1.3These terms are written for business customers. If you're buying as a consumer (for purposes wholly or mainly outside your trade or business), clause 15 also applies, and nothing in these terms affects your legal rights as a consumer.
2. Proposals and starting work
2.1Our proposal sets out the work, price, what's included and excluded, third-party costs and the expected timescale. It's valid for 30 days.
2.2The contract starts when you accept the proposal in writing (email is fine) and we receive any deposit due.
2.3Any website concept we show you before that is a private sample. It isn't published and you're under no obligation to buy it.
3. Website builds
3.1We'll build the pages and features described in your proposal and package.
3.2A "revision round" is one combined list of changes from you. Your package says how many rounds are included. Extra rounds and changes outside the agreed scope are quoted before we start them.
3.3Timescales run from when we have all your content. If we're waiting more than 30 days for content or feedback, we may pause the project and agree a new slot with you.
3.4When the site is ready, we'll ask you to sign it off. If you don't report any faults within 10 working days of that request, the site is treated as signed off.
3.5After launch, we'll fix anything that doesn't work as agreed, free of charge, for the period in your package (14 or 30 days). New changes after sign-off are charged separately or come out of a care plan's edit allowance.
4. Your responsibilities
4.1You'll provide the content and information we need, give feedback promptly and give us the access we need, for example to your domain or Google Business Profile.
4.2You're responsible for the accuracy of all content and claims on your website and in your adverts. That includes prices, reviews, accreditations, qualifications and guarantees. We'll ask you to approve these before launch, and we won't publish anything you haven't approved.
4.3You confirm that you have the right to use any material you give us, such as photos, logos and text. You'll compensate us if a third party makes a claim because we used material you supplied.
4.4You're responsible for your own website's legal pages, such as your privacy notice and terms. We can provide templates on request, but we don't give legal advice.
5. Fees and payment
5.1Our fees are set out in your proposal. We are not VAT registered, so no VAT is charged.
5.2For website builds, a 50% deposit is due to book the work and the remaining 50% is due on sign-off, before launch.
5.3Care plans and advertising management are billed monthly in advance by Direct Debit or card. The first payment is taken at launch or when the service starts.
5.4Invoices are due within 14 days. For business customers, we may charge interest and compensation on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.
5.5If an invoice is more than 30 days overdue, we may pause work or suspend hosting after giving you 7 days' written notice.
6. Third-party costs
6.1Domain names, email licences, booking tools, extra stock images, advertising spend and similar costs are paid by you directly to the provider, unless your proposal says otherwise. We don't mark them up.
6.2These services are provided under the third party's own terms. We're not responsible for their prices, changes or outages.
7. Care plans
7.1Each care plan includes the hosting, edit time, SEO work, reports and response times listed in our current Packages & Care Plans schedule.
7.2Edit time is recorded in 15-minute blocks. Before any request goes over your allowance, we'll give you an estimate. Extra time is charged at £45 an hour, and only with your agreement. Unused time rolls over only where your plan says so.
7.3Care plans have a minimum term of 3 months (6 months for Perform). After that, they continue month to month until either of us gives 30 days' written notice.
7.4You can upgrade at any time, from the next billing month. You can downgrade after the minimum term.
7.5We may review prices once a year, giving you 30 days' notice. If you don't accept a new price, you can end the plan at the end of that notice period without penalty.
7.6We use reputable hosting providers and take backups before making changes, but we can't guarantee the site will never be unavailable.
8. SEO and advertising
8.1Search engines and advertising platforms decide where and how often your business appears. We don't guarantee rankings, traffic, enquiries or sales.
8.2Advertising spend is paid by you directly to the platform, such as Google or Meta, and the ad accounts are in your name.
8.3We'll only launch or change a campaign with your approval. Advertising management has a minimum term of 3 months.
9. Ownership
9.1Once you've paid for the build in full, you own the design and content we created specifically for your website.
9.2We keep ownership of our own tools, templates, code and know-how. We give you a permanent licence to use any of them that are part of your website.
9.3Fonts, stock images, plugins and other third-party items are licensed to you on their providers' own terms.
9.4Until you've paid in full, we may delay launch, and your right to use the work is limited to reviewing it.
9.5Material you give us stays yours. You allow us to use it to carry out the work.
9.6We'll only show your website in our portfolio with your permission.
10. Your domain, accounts and moving on
10.1Your domain is registered in your name. Where we manage accounts for you, you stay the owner and add us as a manager.
10.2If you leave, we'll give you a copy of your content and images and help transfer your domain. Moving the site to another host is quoted from £150, or we'll provide a code export where the platform allows it.
10.3We delete your data 30 days after our services end, unless the law requires us to keep it longer.
11. Data protection
11.1We both comply with UK data protection law. Our privacy notice explains how we handle personal information about you.
11.2Where we host or manage your website, or handle its visitor data, you're the controller and we're your processor. In that role we'll:
- process the data only on your documented instructions
- make sure anyone who handles it is bound by confidentiality
- keep it secure
- use other processors only with your general permission, telling you about changes so you can object, and on the same data protection terms
- help you respond to requests from individuals and deal with security incidents, and tell you without undue delay if we become aware of a breach
- delete or return the data at the end of our services, unless the law requires us to keep it
- give you the information you need to show compliance, and allow reasonable audits
11.3The data includes contact details and messages submitted through your website's forms, about your website's visitors and customers, for as long as we provide the service. A list of the other processors we use is available on request.
12. Confidentiality
12.1We'll both keep each other's confidential information private, and use it only for this contract.
13. Liability
13.1Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't legally be limited.
13.2We're not liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data.
13.3Our total liability under or in connection with this contract is limited to the fees you've paid us in the 12 months before the claim.
14. Ending the contract
14.1Either of us can end the contract by written notice if the other seriously breaks it and doesn't put it right within 14 days of being asked, or becomes insolvent.
14.2You can cancel a build at any time by writing to us. You'll pay for work done up to that point. The deposit is set against that amount, and any unused part of it is refunded.
14.3Care plans and advertising management end as set out in clauses 7 and 8.
15. If you're a consumer
15.1If we agree the contract at a distance or away from our premises, you can cancel within 14 days of the contract starting.
15.2If you ask us to start work within those 14 days and then cancel, you'll pay for the work done up to the point you cancelled.
15.3We'll carry out our services with reasonable care and skill.
16. General
16.1Neither of us is responsible for delays caused by events outside our reasonable control.
16.2We may use trusted subcontractors, but we stay responsible for their work.
16.3Changes to the contract must be agreed in writing. Email is fine.
16.4This contract is the whole agreement between us about the work.
16.5English law applies, and the courts of England and Wales deal with any dispute.
